Every commercial real estate transaction carries environmental risk. Under CERCLA (the Superfund law), the current owner of a contaminated property can be held liable for cleanup costs — even if they didn't cause the contamination, even if they didn't know about it. The only legal defense is the Innocent Landowner Defense, and the only way to establish that defense is to conduct a Phase I Environmental Site Assessment before you acquire the property.

Beyond legal liability, environmental contamination that's discovered after purchase can devastate a deal's financial projections. Cleanup costs for petroleum contamination, industrial chemicals, or hazardous waste can range from $50,000 to several million dollars. Underground storage tanks, dry cleaning operations, auto repair shops, gas stations, and manufacturing facilities are just some of the land uses that commonly leave behind contamination.

Lenders understand this risk, which is why virtually every commercial loan requires a Phase I ESA. But a Phase I is just the beginning — it's a historical research and visual inspection exercise. If the Phase I identifies potential contamination concerns (known as Recognized Environmental Conditions), a Phase II ESA is needed to actually sample the soil, groundwater, and soil vapor to confirm whether contamination exists and characterize its extent.
